Artificial Intelligence Terms and Conditions

These Artificial Intelligence Terms and Conditions (the “AI Terms”) govern the use of the artificial intelligence (“AI”) features made available by WorkJam Inc. (“WorkJam”) through the WorkJam AI Agent (the “AI Agent”) and form an integral part of WorkJam’s Master Software as a Service Agreement available at https://www.workjam.com/master-software-subscription-agreement/ or any executed written agreement between WorkJam and the legal entity for which you are acting (“Customer”) for the access of WorkJam services (the “Agreement”). Capitalized terms not otherwise defined herein, shall have meaning ascribed to them in the Agreement. For the avoidance of doubt, the AI Agent constitutes an integral part of the Services, as defined in the Agreement. In the event of a conflict between the Agreement and these AI Terms, the AI Terms shall govern.

IF YOU DO NOT AGREE TO ALL OF THESE AI TERMS, DO NOT ACCESS OR USE THE AI AGENT. THIS AGREEMENT IS EFFECTIVE AS OF THE DATE ON WHICH THE APPLICABLE CUSTOMER ENTERS INTO AN ORDER FORM OR, IF EARLIER, WHEN A CUSTOMER OR USER START USING THE SERVICES (THE “EFFECTIVE DATE”).

1. Content:

The output insights generated and returned by the AI Agent (“Output”) are based on, but not limited to, prompts, queries and/or data submitted to and/or processed by the AI Agent (“Input”). The Input and Output shall collectively be referred to herein as “Content”. Subject to third-party rights where applicable (for example as it relates to data owned by WorkJam) and to the extent permitted under applicable laws, as between the parties, the Customer or User, as may be, is the owner of the Input and is hereby granted a limited non-exclusive license to access and use the Output. The Content may be used for any legal and lawful purpose at Customer’s or User’s own risk.

2. Personal Information

The AI Agent does not automatically collect, use or otherwise process any Personally Identifiable Information, nor is the collection or submission of Personally Identifiable Information necessary for the operability of the AI Agent. Should a Customer or User decide to share Personally Identifiable Information with the AI Agent as Input, it may be retained for the duration of your interaction with the AI Agent and used to provide more personalized Outputs. 3. Acceptable Use Policy

Without derogating from the general usage limitation terms contained in the Agreement, the Customer hereby represents and warrants that it will not, nor will it authorize a User or anyone else on its behalf, to:

 

(a) mislead anyone that the Content has been human-generated;

 

(b) use the AI Agent in a way that infringes, misappropriates or violates any third party rights;

(c) use the AI Agent to generate content that expresses or promotes hate, harassment, or violence, exploits or harms children, encourages self-harm, presents illegal, sexual, political, harmful, false, deceiving or misleading information, misuses personal data, contains malware, unsolicited bulk content, ransomware, viruses, or other software;

 

(d) reverse assemble, reverse compile, decompile, translate or otherwise attempt to discover the source code or underlying components of models, algorithms, and systems of the AI Agent (except to the extent such restrictions are contrary to applicable law); and

 

(e) use any method to extract data from the AI Agent, including web scraping, web harvesting, or web data extraction methods, other than as permitted through the API.

4. Disclosure of the use of AI

The Customer or the User, as may be, agrees that it will take all steps necessary to properly disclose the source of any Content created with the assistance of the AI Agent, as may be required by applicable law.

5. Warranties

IN ADDITION TO ANY DISCLAIMERS SET FORTH IN THE AGREEMENT, THE AI AGENT IS PROVIDED ON AN “AS IS” AND AS “AVAILABLE” BASIS. WORKJAM AND THE APPLICABLE THIRD-PARTY SERVICE PROVIDER, MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE AI AGENT, OR THE INFORMATION, TEXT, AND CONTENT INCLUDED IN THE OUTPUT, OR THE USE OF THE INPUT, INCLUDING WITHOUT LIMITATION, ACCURACY OF THE RESULTS, AVAILABILITY, SUITABILITY, RELIABILITY, OR CONTENT OF ANY INFORMATION PROVIDED THROUGH THE AI AGENT. The Customer should independently confirm any Outputs from the AI Agent before relying on such Outputs. WORKJAM WILL HAVE NO LIABILITY OR RESPONSIBILITY ARISING IN ANY WAY FROM THE USE OF THE AI AGENT OR ANY ERRORS OR OMISSIONS CONTAINED IN THE CONTENT.

6. Third Party Service Providers

The AI Agent is provided through third parties service providers. Currently the AI Agent uses artificial intelligence technology components developed, owned and provided by Alphabet Inc.
